TERMS & CONDITIONS OF SALE

These Terms & Conditions ("Terms") apply to purchases made through the Simply Shoes website ("Website").

Please read these Terms carefully before placing an order. By placing an order through our Website, you confirm that you have read and understood these Terms.

These Terms apply to consumers purchasing products for personal use in the United Kingdom. If you are purchasing products for business purposes, please contact us before placing an order.

2. DEFINITIONS

In these Terms:

"Contract" means the legally binding agreement between you and us for the purchase of products.

"Goods" or "Products" means footwear and any other products offered for sale through the Website.

"Website" means the Simply Shoes online store and any associated webpages operated by us.

"Order" means an order submitted by you through the Website for the purchase of Products.

"Business Day" means a day other than a Saturday, Sunday or public holiday in England.


3. ELIGIBILITY TO PURCHASE

You must be at least 18 years old to place an order through our Website.

By placing an order, you confirm that:

  • You are legally capable of entering into a binding contract;

  • The information you provide to us is accurate and complete;

  • You are purchasing the Products for personal use and not for unauthorised resale; and

  • You are located in the United Kingdom or the order is being delivered to a UK address.

We reserve the right to refuse or cancel an order where we have reasonable grounds to believe that these requirements have not been met.


4. PRODUCT INFORMATION

We make reasonable efforts to ensure that descriptions, photographs, measurements, colours and other information relating to Products are accurate.

However, colours displayed on your device may vary from the actual colour of a Product depending on your device, screen settings and other technical factors.

Minor variations in appearance, stitching, texture or finish that do not materially affect the Product's description, quality or functionality will not necessarily constitute a defect.

Nothing in this section limits your statutory rights.

Products must be:

  • Of satisfactory quality;

  • Fit for their intended purpose;

  • As described; and

  • In conformity with the contract.

These rights apply regardless of whether a Product is sold at full price, on sale or as part of a promotion.


5. AVAILABILITY

All Products are subject to availability.

If a Product becomes unavailable after you place an order, we will contact you and, where appropriate, offer you:

  • A suitable alternative;

  • The option to wait for the Product to become available; or

  • A full refund for the unavailable Product.

If we cannot fulfil your order, we will refund any amount you have paid for Products that we are unable to supply.


6. PRICES

The price of each Product will be the price displayed on the Website at the time you place your order, unless there has been an obvious pricing error.

All prices will be displayed in pounds sterling (£).

Where applicable, prices will include VAT.

Delivery charges will be displayed separately before you complete your order.

We reserve the right to change prices at any time, but changes will not affect an order that we have already accepted, except where an obvious pricing error has occurred.


7. PRICING ERRORS

We take reasonable care to ensure that prices displayed on the Website are accurate.

If we discover an obvious and genuine pricing error in a Product you have ordered, we will contact you and give you the option to:

  1. Confirm the order at the correct price; or

  2. Cancel the order and receive a full refund.

If we are unable to contact you, we may treat the order as cancelled and issue a full refund.

An obvious pricing error may include, for example, a Product displayed at £1 where it is clearly intended to be £100.

This provision does not give us a general right to cancel orders simply because a Product is no longer profitable for us.


8. PLACING AN ORDER

When you place an order through the Website, you are making an offer to purchase the Products in your order.

Before placing your order, you will have an opportunity to review and correct your order.

You must ensure that all information you provide, including your delivery address, email address, telephone number and payment information, is accurate.

Once your order has been submitted, we will normally send an acknowledgement email confirming that we have received your order.

Receipt of an order acknowledgement does not necessarily mean that your order has been accepted.

Our acceptance of your order will take place when we send you confirmation that the Products have been accepted for dispatch, unless we expressly state otherwise.

At that point, a legally binding contract between you and Simply Shoes is formed.

We will provide confirmation of the contract on a durable medium, normally by email.


9. OUR RIGHT TO REFUSE AN ORDER

We may refuse or cancel an order before acceptance where there is a legitimate reason to do so, including:

  • The Product is unavailable;

  • We cannot obtain authorisation for payment;

  • There has been an obvious pricing or description error;

  • We reasonably suspect fraudulent or unlawful activity;

  • We are unable to deliver to the address provided;

  • The order appears to have been placed for unauthorised resale; or

  • We have another legitimate and lawful reason preventing us from fulfilling the order.

If we cancel an order after you have paid, we will refund the amount you have paid for the cancelled order.

We will not use this provision to avoid our legal obligations to you.


10. PAYMENT

Payment must be made using one of the payment methods displayed at checkout.

Payment must be successfully authorised before we are required to dispatch your order.

You confirm that you are authorised to use the payment method provided.

We do not knowingly accept fraudulent payments.

If a payment is subsequently reversed, charged back or otherwise not received by us, you remain liable for any amount legitimately due under the contract, subject to your statutory rights and any rights you may have against your payment provider.


11. DELIVERY

We currently deliver Products within the United Kingdom only.

Available delivery options, estimated delivery times and delivery charges will be displayed at checkout.

Delivery estimates are estimates unless we have expressly agreed a specific delivery date with you.

We will aim to dispatch orders within the timeframe stated on the Website.

If no specific delivery period has been agreed, the law generally requires delivery without undue delay and, subject to applicable exceptions, no later than 30 days after the contract is formed.

If we fail to deliver within the applicable timeframe, you may have legal rights to require delivery within an additional appropriate period and, in certain circumstances, cancel the contract and receive a refund.


12. DELIVERY ADDRESS

You are responsible for providing a complete and accurate delivery address.

If you provide an incorrect address and the parcel cannot be delivered as a result, we may be unable to refund additional delivery or redelivery charges that arise from your error, subject to your statutory rights.

If the parcel is returned to us because the delivery address supplied was incorrect, please contact us so that we can determine the appropriate next steps.


13. RISK AND DELIVERY

Where you are a consumer, the Products remain our responsibility until they come into your physical possession or the possession of a person you have identified to receive them on your behalf, other than a carrier offered by us.

We will not treat an order as delivered merely because a courier's tracking system states that it has been delivered if you have not actually received it, subject to the circumstances and applicable law.

If you believe your order has been lost, stolen or delivered incorrectly, contact us promptly so that we can investigate.


14. OUR RETURNS AND CANCELLATION POLICY

Our full Returns, Refunds & Cancellation Policy forms part of these Terms.

For online purchases, you generally have a statutory right to cancel within 14 days of receiving the goods, without giving a reason.

After notifying us of cancellation, you generally have a further 14 days to return the goods.

For an ordinary change-of-mind cancellation, you are responsible for the direct cost of returning the goods to us, provided we have given you the required information about those costs before the contract was formed.

Where goods are faulty, damaged, incorrect or otherwise do not conform to the contract, we will not require you to bear return costs that we are legally responsible for.

You may inspect and try shoes to the extent reasonably necessary to establish their nature, characteristics and functionality. If you handle them beyond what is reasonably necessary and this reduces their value, we may make a proportionate deduction from your refund where permitted by law.


15. FAULTY, DAMAGED OR INCORRECT PRODUCTS

If you receive a Product that is faulty, damaged, not as described or otherwise does not conform to the contract, please contact us.

Depending on the circumstances, you may have rights to:

  • Reject the goods and receive a refund;

  • Have the goods repaired;

  • Have the goods replaced;

  • Receive a price reduction; or

  • Exercise another remedy available under applicable law.

The Consumer Rights Act 2015 provides statutory protections concerning the quality, description and fitness for purpose of consumer goods. These rights cannot be excluded by these Terms.

We will assess reported faults fairly and in accordance with applicable law.

Normal wear and tear, accidental damage and damage caused by misuse are not necessarily faults for which we are responsible.


16. RETURNS POSTAGE

You pay the cost of returning the Product to us.

Faulty, damaged or incorrect Product

We will bear the return cost where applicable law requires us to do so.

Nothing in these Terms requires you to pay a return cost that we are legally responsible for.


17. REFUNDS

Where a refund is due, we will normally refund the payment using the same payment method used for the original purchase.

For a valid statutory cancellation, we will refund the payments that we are legally required to refund, including the cost of the least expensive standard delivery option we offered.

We are not required to refund additional delivery costs where you selected a more expensive delivery method.

Where permitted by law, we may delay a refund until we receive the returned Product or you provide evidence that it has been returned, whichever occurs first.

Where a deduction is permitted because the Product has been handled beyond what is reasonably necessary to inspect it, we may deduct an appropriate amount reflecting the reduction in value.


18. SALE PRODUCTS

Sale and discounted Products are covered by the same statutory consumer protections as full-price Products.

We will not describe a Product as "no returns" or otherwise use wording intended to remove statutory rights that cannot legally be removed.

If a particular defect has been specifically disclosed to you before purchase and you purchase the Product with knowledge of that defect, you may not necessarily be able to rely on that disclosed defect as a basis for a claim.


19. GIFT CARDS AND PROMOTIONAL CODES

If we offer gift cards, discount codes or promotional offers, additional terms may apply to them.

Any applicable conditions will be displayed at the time the gift card, code or promotion is offered.

Promotional codes may not be combined unless we expressly permit this.

We reserve the right to withdraw or amend a promotional offer where we have a legitimate reason to do so, subject to any rights that have already arisen under an accepted order.


20. INTELLECTUAL PROPERTY

All intellectual property rights in the Website and its content, including:

  • Logos;

  • Branding;

  • Product photography;

  • Text;

  • Graphics;

  • Website design;

  • Layout;

  • Product descriptions; and

  • Other original content

belong to Simply Shoes or our licensors unless otherwise stated.

You may access and use the Website for your personal, non-commercial use.

You must not reproduce, copy, distribute, modify, sell, commercially exploit or otherwise use our content without our prior written permission, except where permitted by law.


21. CUSTOMER REVIEWS AND CONTENT

If you submit a review, photograph, comment or other content to us or through the Website, you confirm that:

  • The content is your own or you have permission to provide it;

  • It does not infringe another person's intellectual property rights;

  • It is not unlawful, defamatory, abusive, misleading or fraudulent; and

  • It does not contain malicious software or other harmful material.

You retain ownership of your content.

By submitting content to us, you grant Simply Shoes a non-exclusive, worldwide, royalty-free licence to use, reproduce, display and publish that content for the purposes of operating, marketing and promoting our business, subject to applicable law.

We reserve the right to remove content that we reasonably believe breaches these Terms or applicable law.


22. WEBSITE AVAILABILITY

We aim to keep the Website available and functioning properly, but we do not guarantee that it will always be uninterrupted, error-free or available.

We may temporarily suspend access for:

  • Maintenance;

  • Security reasons;

  • Updates;

  • Technical problems; or

  • Circumstances outside our reasonable control.

Nothing in this section affects rights relating to Products you have already purchased.


23. THIRD-PARTY WEBSITES AND SERVICES

The Website may contain links to third-party websites or services.

We are not responsible for the content, availability, security or practices of third-party websites.

If you use a third-party service, you may also be subject to that provider's terms and policies.


24. PERSONAL DATA AND PRIVACY

25. LIMITATION OF LIABILITY

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

In particular, nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence;

  • Breach of your statutory consumer rights;

  • Faulty products where liability cannot legally be excluded;

  • Products that are not as described;

  • Any other liability that cannot legally be excluded or limited.

Subject to the above, we will only be responsible for losses that are reasonably foreseeable and arise directly from our breach of the contract.

We are not responsible for indirect or consequential losses where the law permits such limitation.

Nothing in this section affects your statutory rights.

UK consumer law does not allow businesses to use contract terms to avoid responsibility for matters such as faulty goods or goods that are not as described.


26. EVENTS OUTSIDE OUR REASONABLE CONTROL

We will not be responsible for delay or failure to perform our obligations where this is caused by circumstances outside our reasonable control.

Such circumstances may include:

  • Natural disasters;

  • Severe weather;

  • Fire;

  • Flood;

  • War;

  • Terrorism;

  • Civil unrest;

  • Government action;

  • Industrial disputes;

  • Major transport disruption;

  • Significant failures of telecommunications or infrastructure; or

  • Other events that could not reasonably have been prevented or avoided.

This section does not remove any rights you may have to cancel an order or receive a refund where applicable law gives you those rights.

We want to resolve complaints quickly and fairly.

The Terms that apply to your purchase will be the version in force when you place your order.

Changes made after you have entered into a contract with us will not retrospectively change the terms of that contract unless you expressly agree to the change or the law permits us to make it.


29. SEVERABILITY

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it lawful and enforceable where legally possible.

If it cannot be made lawful or enforceable, it will be removed from these Terms.

The remaining provisions will continue in full force and effect.


30. NO WAIVER

If we do not immediately enforce a right or provision under these Terms, this does not mean that we have waived that right.

Any waiver must be expressly made by us.


31. ENTIRE AGREEMENT

These Terms, together with the information displayed on the Website that forms part of your order, our Returns, Refunds & Cancellation Policy and our Privacy Policy, constitute the agreement between you and Simply Shoes concerning your purchase.

Nothing in this section excludes any information or representation that is legally treated as part of the contract or any statutory right that cannot lawfully be excluded.


32. THIRD-PARTY RIGHTS

Unless expressly stated otherwise, no person other than you and Simply Shoes has the right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.

This does not affect any rights that a person may have independently under applicable law.


33. GOVERNING LAW

These Terms and any contract between you and Simply Shoes are governed by the law of England and Wales, except where mandatory consumer protection laws in another part of the United Kingdom apply to you and cannot legally be excluded.

If you are a consumer, you will also benefit from any mandatory protections available to you under the law applicable to your place of residence.


34. JURISDICTION

If you are a consumer, you may bring legal proceedings in the courts of England and Wales or, where applicable, the courts of the part of the United Kingdom in which you live.

Nothing in these Terms prevents you from exercising any mandatory legal right concerning where a claim may be brought.


35. STATUTORY RIGHTS

Nothing in these Terms affects your statutory rights as a consumer.

In particular, you retain all rights provided to you under applicable UK consumer legislation, including rights concerning:

  • The quality of goods;

  • Fitness for purpose;

  • Description of goods;

  • Delivery;

  • Cancellation of online orders;

  • Refunds;

  • Faulty goods;

  • Repairs and replacements; and

  • Other mandatory consumer protections.

Where a term in these Terms conflicts with a mandatory statutory consumer right, the statutory right will prevail.

Consumer contract terms must be fair and transparent, and unfair terms may not be enforceable.
